This Legal Disclaimer (“Disclaimer”) governs your (“User,” “you,” or “your”) access to and use of the website (the “Site”) owned and operated by The Iron Dawn Collective LLC (the “Company,” “we,” “us,” or “our”), including any and all products, subscriptions, services, and materials provided therein, as well as all ancillary or derivative content associated therewith. By accessing or otherwise utilizing the Site, you unconditionally acknowledge and agree to be bound by every term and condition set forth in this Disclaimer. This Disclaimer extends to and indemnifies Marcus Roberts, the founder of The Iron Dawn Collective LLC, together with all colleagues, employees, contractors, affiliates, and any other individuals or entities acting in concert with the Company (collectively, the “Protected Parties”). All Protected Parties are expressly shielded, to the fullest extent allowable by law, from any and all liability arising out of or connected with your use of the Site and its offerings.

1. GENERAL INFORMATION

3. GOLD SUBSCRIPTIONS: PHYSICAL PRODUCT SALES

1. Scope of Offering
   The Company, at intervals of its choosing, may extend to you an opportunity to subscribe for and receive a physical, one-ounce gold product (the “Gold Subscription”). By electing to enroll, you purport to purchase a tangible commodity on a recurring basis, subject to the contingencies and qualifications set forth herein.

2. Price Volatility and Right of Refusal
   You expressly acknowledge that the global gold market is inherently unstable and subject to significant fluctuations in spot price. Should the price of gold, at any time prior to shipment, exceed or otherwise fail to meet the parameters on which the Company’s cost basis, projected margin, or operational feasibility is predicated, the Company reserves, in its sole and unreviewable discretion, the right to:

   • Refuse or Rescind a Sale: The Company may unilaterally decline to complete any pending transaction, regardless of whether payment has been initiated, if doing so is deemed commercially impracticable or detrimental due to market shifts.

   • Suspend, Modify, or Cancel Subscriptions: The Company may suspend deliveries, amend pricing structures, alter subscription terms, or cancel individual or collective subscriptions, with or without notice.

3. Supply Chain and Operational Constraints
   Fulfillment of the Gold Subscription is contingent upon numerous external and internal variables, including, but not limited to, availability of raw materials, minting schedules, shipping partner reliability, and other logistical or regulatory conditions. In the event that supply is constrained or market accessibility for gold becomes hindered, the Company may, at its exclusive discretion and without incurring liability, delay, suspend, or terminate any subscription or shipment.

4. No Implied Investment or Financial Advisory Relationship
   Although gold is widely regarded as a “precious metal,” the Company disclaims any and all liability arising from or related to interpretations of the Gold Subscription as an investment product, portfolio hedge, or other financial instrument. Participation in the Gold Subscription is predicated solely on your independent determination and does not constitute financial or investment advice, recommendation, or endorsement by the Company.

4. CLOTHING SALES AND E-COMMERCE

1. Merchandise Sold “As Is”
   Any garments, accessories, or other consumer items (collectively, “Merchandise”) made available through the Site are sold strictly “as is,” with all faults and defects, and without any warranty whatsoever, whether express, implied, or statutory. To the fullest extent permitted by law, the Company disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

2. Order Refusal or Cancellation
   The Company retains unfettered authority to refuse, rescind, or cancel any Merchandise order if it determines, in its sole judgment, that a pricing error, supply problem, unauthorized use of payment methods, or any other material concern justifies such refusal or cancellation. Any remedial measures (such as refunds) will be extended solely in accordance with the Company’s established policies.

3. Shipping Risks and Responsibilities
   The Company does not assume responsibility for losses, delays, damages, or shipping irregularities once Merchandise has been entrusted to a carrier. Users must consult the relevant shipping and return policies for clarity on recourses and procedures pertaining to deliveries, exchanges, or returns.

5. DONATIONS

1. Irrevocability
   All monetary contributions or philanthropic gifts directed to the Company or its affiliates shall be treated as definitive, non-retractable donations. In no event shall the Company bear any obligation to restore donated funds, except in cases of proven technical or billing errors.

2. Tax Treatment
   Unless expressly confirmed in writing, the Company makes no assertion as to the tax-deductible status of any such donation. Users are encouraged to confer with competent tax professionals for definitive guidance on deductibility or any other relevant tax considerations.

6. INTELLECTUAL PROPERTY

1. Ownership of Intellectual Property
   All texts, designs, graphics, logos, images, videos, and other creative or functional elements displayed on the Site constitute the exclusive intellectual property of Marcus Roberts and The Iron Dawn Collective LLC, unless otherwise noted. 8. RESERVATION OF RIGHTS TO MODIFY OR TERMINATE

The Company retains the unbridled prerogative to amend, revise, suspend, or discontinue any aspect of the Site and its associated products or services—whether gold subscriptions, merchandise offerings, or otherwise—at any time and for any reason, without incurring liability or providing prior notice. This right encompasses, but is not limited to, suspending or canceling subscriptions upon surges in precious metal prices, encountering supply chain obstacles, or any other contingency deemed, in our exclusive determination, to justify such action.

9. GOVERNING LAW AND FORUM SELECTION

All matters arising from or relating to this Disclaimer, as well as any disputes that may materialize in connection with your use of the Site, shall be governed by, construed, and enforced in accordance with the laws of the state in which The Iron Dawn Collective LLC is registered, exclusive of its conflict-of-law provisions. Any legal proceedings must be instituted exclusively in the state or federal courts situated in that jurisdiction, and you expressly consent to personal jurisdiction and venue therein.

10. ACKNOWLEDGMENT AND ACCEPTANCE

By proceeding to access or utilize the Site, you hereby affirm that you have thoroughly read, comprehended, and consented to every stipulation in this Disclaimer. You further release the Company, Marcus Roberts, and all other Protected Parties from any and all liabilities associated with your usage of the Site, products, or services, and agree that this release shall be comprehensive and binding.
